Agreement
By submitting the Creator Partnership Form, you ("Creator", "Talent", "you") agree to the following terms with The Aussie Pal Pty Ltd ("The Aussie Pal", "Brand", "we", "us").
This Agreement governs your participation in The Aussie Pal's gifted creator partnership program, including the creation of content and the granting of Partnership Ad (whitelisting) permissions.
1. Definitions
"Content" means all media, materials and promotional assets created by you in connection with this partnership, including but not limited to videos, images, Reels, Stories, text, audio, and any raw or edited footage.
"Agreed Platforms" means Instagram, TikTok, Facebook, YouTube, and any other social media platforms agreed in writing.
"Partnership Ads" (also known as "Whitelisting" or "Spark Ads") means paid advertisements run by The Aussie Pal through your social media account(s), where your handle and profile appear on the advertisement.
"Deliverables" means the content you agree to create and post as part of this partnership, as communicated to you by The Aussie Pal.
2. Partnership Overview
As part of this gifted collaboration:
a) The Aussie Pal will provide you with product(s) and/or gift vouchers at no cost to you.
b) You agree to create and post Content featuring The Aussie Pal products on the Agreed Platforms.
c) You agree to grant The Aussie Pal permission to run Partnership Ads through your social media account(s).
3. Content Rights and Intellectual Property
a) You grant The Aussie Pal a perpetual, worldwide, royalty-free, transferable, sublicensable licence to use, reproduce, modify, adapt, publish, distribute, and display all Content created under this Agreement for marketing, promotional, advertising, and internal use across all platforms and media.
b) This licence includes the right to use your name, likeness, image, voice, and social media handle in connection with the Content.
c) You retain ownership of your original Content, subject to the licence granted above.
d) The Aussie Pal retains full usage rights to all Content (including edited and raw footage) in perpetuity.
e) All published Content will remain published on your social media indefinitely or until such time as directed by The Aussie Pal.
f) You warrant that any Content you create is original, does not infringe any third party's intellectual property rights, and that you have all necessary rights to grant the licences in this Agreement.
4. Partnership Ads (Whitelisting)
4.1 Permissions Granted
By agreeing to these terms, you grant The Aussie Pal permission to:
a) Run paid Partnership Ads through your connected social media account(s).
b) Use your account name, handle, profile image, and approved Content in paid advertising campaigns.
c) Boost, promote, or amplify posts from your account as paid advertisements.
d) Access Ads Manager, Business Manager, Creator Marketplace, or Spark Ads permissions as required by each platform.
e) Edit, crop, or modify Content for advertising formats and placements.
4.2 Duration of Partnership Ad Permissions
a) Partnership Ad permissions commence when you grant access and continue indefinitely until terminated by either party.
b) Either party may terminate Partnership Ad permissions by providing 14 days written notice via email.
c) Upon receiving valid termination notice, The Aussie Pal will remove advertising permissions within 7 business days.
d) Any Partnership Ads currently running at the time of termination notice may complete their scheduled campaign duration.
4.3 Your Control
a) You retain full control of your organic (non-ad) content at all times.
b) Partnership Ads will display as "Paid Partnership" or equivalent disclosure on your profile.
c) You may request to review active Partnership Ads at any time.
5. Content Licence Duration
a) The content licence granted in Section 3 is separate from Partnership Ad permissions.
b) Even if Partnership Ad permissions are terminated, The Aussie Pal retains the perpetual licence to use your Content for marketing and advertising purposes (including running the Content as ads from The Aussie Pal's own accounts).
c) This means The Aussie Pal can continue using your Content in advertisements run from our own ad accounts, but will no longer run ads through your profile once Partnership Ad permissions are terminated.
6. Creator Responsibilities
You agree to:
a) Create and deliver Content in accordance with any brief or guidelines provided by The Aussie Pal.
b) Post Content within the timeframe communicated to you (typically within 2 weeks of receiving product).
c) Ensure all Content complies with The Aussie Pal's brand guidelines.
d) Maintain an active, public social media account on the Agreed Platforms.
e) Not revoke Partnership Ad permissions without providing 14 days prior written notice via email.
f) Notify The Aussie Pal of any changes to your account (username, email, access issues).
g) Comply with all applicable platform terms of service, advertising policies, and Australian Consumer Law.
h) Clearly disclose the partnership in accordance with AANA Code of Ethics and platform requirements.
i) Not engage in any conduct that could bring The Aussie Pal into disrepute or damage its reputation.
j) Not make any public statements about The Aussie Pal or this partnership without prior written approval.
7. Brand Responsibilities
The Aussie Pal agrees to:
a) Provide product(s) and/or gift vouchers as communicated to you.
b) Cover all advertising costs for Partnership Ads.
c) Run Partnership Ads that align with your personal brand (within reason).
d) Not access or modify your organic (non-ad) content.
e) Provide performance reports upon reasonable request.
f) Remove Partnership Ad permissions within 7 business days of valid termination notice.
8. Compensation
a) This is a gifted collaboration. You will receive product(s) and/or gift vouchers as outlined in your partnership invitation.
b) No monetary payment is included unless separately agreed in writing.
c) The permissions and licences granted in this Agreement are provided in exchange for the gifted products and exposure through Partnership Ads.
9. Confidentiality
a) You agree that the terms of this Agreement, any information disclosed by The Aussie Pal, campaign performance data, and any other business details are confidential ("Confidential Information").
b) You will not disclose any Confidential Information to any third party without The Aussie Pal's prior written consent.
c) This confidentiality obligation continues after termination of this Agreement.
d) You are not entitled to publish any statements or make announcements about this partnership or your business relationship with The Aussie Pal without prior written consent.
10. Conduct and Incidents
a) You must not do or say anything (or omit to do or say anything) which may bring The Aussie Pal, its products, or its reputation into disrepute.
b) If any incident occurs that may affect The Aussie Pal's reputation or your suitability as a partner, you must notify The Aussie Pal immediately.
c) The Aussie Pal reserves the right to terminate this Agreement immediately if, in its absolute discretion, it considers your conduct to be inconsistent with this partnership or not in the best interests of The Aussie Pal.
11. Termination
a) Either party may terminate this Agreement by providing 14 days written notice via email.
b) The Aussie Pal may terminate this Agreement with immediate effect if:
- You breach any material term of this Agreement.
- You engage in conduct that damages or may damage The Aussie Pal's reputation.
- Any legal or regulatory issues arise in relation to the Content or Partnership Ads.
c) Upon termination:
- The Aussie Pal will remove Partnership Ad permissions within 7 business days.
- Any Partnership Ads currently running may complete their scheduled campaign duration.
- The Aussie Pal's perpetual licence to use existing Content survives termination.
d) Clauses 3 (Content Rights), 5 (Content Licence Duration), 9 (Confidentiality), 11 (Termination), and 12 (Liability) survive termination of this Agreement.
12. Liability
a) You expressly release The Aussie Pal, its agents, employees, and contractors from any claims arising from the use of The Aussie Pal's products, any Content, or any Partnership Ads.
b) Neither party's liability to the other under this Agreement will exceed the value of products and/or vouchers provided under this Agreement.
c) Neither party will be liable to the other for any indirect or consequential loss.
d) Nothing in this Agreement limits liability for death or personal injury caused by negligence, or for fraud.
13. General
a) Independent Contractor: You are an independent contractor. This Agreement does not create a partnership, employment, or agency relationship between the parties.
b) Assignment: You may not assign or transfer your rights or obligations under this Agreement without The Aussie Pal's prior written consent. The Aussie Pal may assign its rights to any related company.
c) Severability: If any part of this Agreement is invalid or unenforceable, that part will be read down or deemed deleted, and the remainder of the Agreement will continue in full force.
d) Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior discussions and agreements.
e) Governing Law: This Agreement is governed by the laws of Queensland, Australia. The parties submit to the jurisdiction of the courts of Queensland.
f) Notices: Any notice under this Agreement must be in writing and sent via email to the address provided by each party.
14. Platform Compliance
All Content and Partnership Ads will comply with:
- Meta (Facebook/Instagram) Advertising Policies and Partnership Ads requirements
- TikTok Advertising Policies and Spark Ads requirements
- Australian Consumer Law
- AANA Code of Ethics (including influencer disclosure requirements)
- Any other relevant platform or regulatory requirements
15. Acknowledgement
By submitting the Creator Partnership Form, you confirm that:
a) You are the owner of the social media account(s) provided.
b) You are at least 18 years of age.
c) You have read, understood, and agree to these Terms & Conditions.
d) You consent to The Aussie Pal running Partnership Ads through your account for the duration specified in Section 4.2.
e) You grant The Aussie Pal the perpetual content licence described in Sections 3 and 5.
f) You understand that Partnership Ad permissions continue until you provide 14 days written notice to terminate.
g) You have the legal capacity to enter into this Agreement.
